Terms of Service

Template notice: this page is a starting-point terms of service for Quantafirm's marketing site and pilot program. It has not been reviewed by an attorney and leaves jurisdiction-specific items (governing law, arbitration/venue, and formal SLA commitments) as placeholders. It should be reviewed by qualified legal counsel before being relied on as a binding agreement, and before any paid subscription is sold against it.

These Terms of Service ("Terms") govern access to and use of Quantafirm's website and its invoice approval and accounts payable automation platform (the "Service"), provided by Quantafirm ("Quantafirm," "we," "us," or "our"). By accessing our website, booking a demo, or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent ("Customer," "you").

1. The Service

Quantafirm provides a structured invoice approval workflow — including OCR-assisted review, role-based approvals, duplicate payment detection, payment-status tracking, and an audit trail — as described on our website. Features vary by plan; current plans and their included features are listed on our Pricing page.

2. Accounts and eligibility

You must provide accurate information when creating a workspace and are responsible for maintaining the confidentiality of your credentials and for activity that occurs under your account. The Service is intended for business use by authorized personnel of a Customer organization, not for personal, family, or household use.

3. Pilot program and subscriptions

Where a founding design partner pilot or trial is offered, its scope (such as invoice-volume or time limits) is described on our Pricing page and may be confirmed directly with the founder. Paid plans are billed based on invoice volume, not per seat, as described on that page. Unless a different notice period is agreed in an order form, subscriptions may be canceled with 30 days' notice, consistent with the cancellation terms stated on our website.

4. Customer data

As between the parties, Customer retains all rights to the invoice, vendor, and approval data it submits to the Service ("Customer Data"). Quantafirm will use Customer Data only to provide, support, and improve the Service for that Customer, consistent with our Privacy Policy. Customer is responsible for ensuring it has the right to submit Customer Data to the Service, including any vendor or personal information it contains.

Quantafirm retains all rights, title, and interest in and to the Service, its software, and its branding. These Terms grant Customer a limited, non-exclusive, non-transferable right to access and use the Service during an active subscription — no other rights are granted.

7. Disclaimers

The Service is provided "as is." Except as expressly stated on our website's Security & Compliance section or in a signed order form, Quantafirm makes no warranties, express or implied, regarding the Service, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. Certifications listed as "planned" on our Security & Compliance section are not yet in place.

8. Limitation of liability

To the maximum extent permitted by law, Quantafirm will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising out of or related to use of the Service, even if advised of the possibility of such damages. Quantafirm's total liability arising out of or related to these Terms will not exceed the amount paid by Customer for the Service in the twelve (12) months preceding the claim.

9. Termination

Either party may terminate a subscription as described in the applicable order form or, absent one, with 30 days' written notice. Quantafirm may suspend or terminate access immediately for material breach of these Terms, including violation of the acceptable use provisions above.

10. Governing law
